1. 东帝汶呼吁澳大利亚在海上边界上“不要对法律置之不理”
针对澳大利亚和东帝汶之间就帝汶海的海上边界争议,根据东帝汶的说法,澳大利亚一直拒绝就永久海上边界进行协商,而且在早前的条约谈判中还派特工监视东帝汶政府。于是东帝汶将澳大利亚诉请至海牙常设仲裁法院,强制要求澳大利亚在该院一个委员会的组织下进行协商,这也是第一次提请海牙常设仲裁法院"强制调解"的案件。而澳大利亚方面则声称该委员会对该事项没有管辖权,而其作出的任何决定对澳大利亚都没有约束力。据估计,这一争议海域的海下蕴藏有价值400亿美元的石油和天然气资源。1975年,在全球去殖民化浪潮中,葡萄牙准许了东帝汶的独立;9天之后,这个新的独立国家被印尼政府军入侵。后来,澳大利亚为了和印尼政府协商获得帝汶海的资源,成为西方唯一一个承认印尼宗主国地位的国家,从而和印尼签署了瓜分帝汶海资源的协议。当时葡萄牙还在联合国国际法院挑战这一协议,但因为印尼拒绝承认国际法院的管辖权而未能成功。2002年,在东帝汶恢复独立的两个月之前,作为《联合国海洋法公约》缔约国的澳大利亚,悄悄地根据公约第298条"Optional exceptions to applicability of section 2",对公约海上边界争议解决程序作出了除外保留;同一天,澳大利亚又根据《联合国国际法院规约》第36(2)条作出保留声明,排除了国际法院对其海上边界界定争议的管辖权。这一系列私下的动作和布局,使得东帝汶无法就此争议提起国际仲裁。后来经过反复协商,澳大利亚和东帝汶又签署了合作条约。然而当选东帝汶首任民选总统的Xanana Gusm?o称,其一直要求澳大利亚就海上边界问题进行友好商谈,而澳大利亚却一直对国际法置若罔闻;澳大利亚为了获得有利的谈判地位,在东帝汶内阁会议室安装窃听器等间谍行为,也使得此前双方签署的条约归于无效。到目前为止澳大利亚都没有承认这一间谍行为,但事实上却对东帝汶的律师Bernard Collaery在堪培拉的办公室进行突袭搜查,并扣押了告发间谍活动的情报特工的护照。

Timor-Leste urges Australia ’not to turn its back on law‘ over maritime boundary
Timor-Leste has urged Australia not to "turn its back on the law" and to negotiate over the Timor Sea maritime boundary, but Australia has claimed the commission it has been brought before has no jurisdiction to hear the matter and said that any decision it makes will be not be binding on Australia.
Australia has been forced to appear before a commission of the permanent court of arbitration in The Hague - the first time any country has been brought before the court for "compulsory conciliation" - by Timor-Leste after its consistent refusal to negotiate a permanent maritime boundary, and revelations Australian agents spied on Timor-Leste’s government during earlier treaty talks.
The long-running dispute centres upon the maritime boundary between Timor-Leste and Australia, most pointedly over control of the area where an estimated $40bn worth of oil and gas lies beneath the sea. (The Guardian)

比利时啤酒生产商百威英博是全球领先的酿酒制造商,也是全球五大消费品公司之一,拥有百威、时代、贝克啤酒等全球旗舰品牌,在中国则拥有哈尔滨啤酒等品牌,现有员工人数约15万人。SABMiller也是世界上最大的啤酒公司之一,总部设在英国伦敦,在伦敦和约翰内斯堡股票市场分别上市,由SAB于2002年5月收购美国Miller公司组成SABMiller公司,一跃成为仅次于百威英博的世界第二大酿酒企业,员工人数在7万人左右。而百威英博以1080亿美元收购SABMiller的巨额交易,也是英国公司历史上最大的一笔交易,光顾问费用就达到19.4亿美元,其中律所费用达到2.61亿美元。如果交易完成的话,英国魔法圈的富尔德律师事务所将获得百威英博1.85亿美元律师费用中最大的一部分;而华尔街白鞋所Cravath, Swaine & Moore和苏利文·克伦威尔律师事务所则负责处理美国法律部分;同为英国魔法圈的高伟绅律师事务所负责处理百威英博的融资安排,也大赚一笔。全球一大串的律所也在其中分得一杯羹,负责处理当地的竞争法和税务事宜。交易的另一边,英国魔法圈的年利达律师事务所将获得SABMiller7600万美元律师费中最大的一部分,霍金路伟律师事务所跟随其后。到目前为止,此笔交易所有的顾问费用(包括财务顾问、律师费用等)超过了日本软银243亿英镑收购ARM交易中支付的2.06亿英镑。在那笔交易中,软银的法律顾问Morrison Foerster和富尔德获得了550万英镑,而ARM的法律顾问司力达和达维则获得了900万英镑。

Reassuringly expensive: Freshfields and Linklaters take biggest gulp from $260m legal fees on AB InBev deal
City lawyers have taken a handsome share of the $1.94bn in advisory fees generated by Anheuser-Busch InBev‘s (AB InBev) $108bn takeover of SABMiller, with law firms receiving $261m in fees from the biggest deal in British corporate history.
Freshfields Bruckhaus Deringer will take the lion’s share of AB InBev‘s $185m legal fees, which the scheme circular states is based on completion of the deal, with Wall Street firms Cravath, Swaine & Moore and Sullivan & Cromwell next in line having handled the US law element. SullCrom ran the brewer’s filing with the US Securities and Exchange Commission and the US firms handled several disposals.
Clifford Chance has also been sluiced with fees, having handled AB InBev‘s financing arrangements. A long list of law firms around the world were also instructed to handle local competition and tax issues.
Linklaters will take the biggest share of the $76m in legal fees spent by SABMiller. Hogan Lovells should be next in line having advised the brewer on certain aspects of the deal.
The fees by far surpass the ?206m in fees Japan’s SoftBank and UK chip-maker ARM Holdings paid their financial advisers, lenders, lawyers and accountants on the ?24.3bn deal they agreed in July. SoftBank‘s legal advisers at Morrison Foerster and Freshfields received ?5.5m, while ARM paid Slaughter and May and Davis Polk & Wardwell ?9m for their legal advice. (Legal Business)

3. 欧洲委员会裁决称,苹果须向爱尔兰补缴130亿欧元巨额税款

Apple should repay Ireland €13bn, European Commission rules
Ireland should recover up to €13bn (?11bn) from Apple in back taxes, the European Commission has ruled.
After a three-year investigation, it has concluded that the US firm’s tax benefits are illegal.
The Commission said Ireland enabled the company to pay substantially less than other businesses, in effect paying a corporate tax rate of no more than 1%.
Ireland and Apple both said they disagreed with the decision and would appeal against it. (BBC)

Freshfields acts for Apple as tech giant looks to appeal €13bn EU tax ruling
Apple has turned to Freshfields Bruckhaus Deringeras it looks to appeal the European Commission‘s ruling it must pay €13bn in back taxes to Ireland.
Earlier this week the EU commission ordered Irish tax authorities to collect taxes which it found amounted to illegal state aid under EU provisions. The ruling is the EU’s highest ever demand under rules that prohibits companies gaining market advantage through government help.
This is not the first time Freshfields has been drafted in to help Apple. The tech company brought in the Magic Circle firm to advise in the long running smartphone wars against Samsung and Motorola. The firm‘s involvement includes guiding Apple through a ruling that found Motorola Mobility broke EU law by trying to use its patents to block sales of Apple products in Germany, and advising the tech giant on its failed bid claiming Samsung’s Galaxy Pad design is too similar to that of an iPad in 2012. MasterCard, which is facing a ?14bn lawsuit in the first major US-style class action in the English courts, has replaced its longstanding legal team at Jones Day with Freshfields Bruckhaus Deringeras it looks to add firepower to its defence.
MasterCard has hired Jon Lawrence, one of the UK‘s leading competition litigators, to duel with Quinn Emanuel Urquhart & Sullivan as the US litigation powerhouse prepares to bring a ?14bn claim against the financial services giant on behalf of British consumers hit with ’illegal‘ charges. Freshfields and Foley Hoag face off as Venezuela ordered to pay Canadian miner more than $1.2bn
Freshfields Bruckhaus Deringer and Foley Hoag have advised as an international tribunal has ordered Venezuela to pay more than $1.2bn to Vancouver’s Rusoro Mining following its ruling that Venezuela unlawfully expropriated the company‘s goldmines.
Venezuela took over the Canada-based company’s investments in the South American country as part of a nationalisation of the gold industry in 2011.
After a four year battle, Rusoro has been awarded damages exceeding $967m plus interest. The tribunal has also ordered Venezuela to contribute $3.3m towards Rusoro‘s arbitration costs.
Rusoro’s claim was upheld by the International Centre for the Settlement of Investment Disputes (ICSID) after a four year battle. Rusoro claimed Venezuela breached its obligations under the Canada-Venezuela Bilateral Investment Treaty.
Freshfields global international arbitration head Nigel Blackaby worked with the Magic Circle firm‘s Paris international arbitration head Noah Rubins to advise Rusoro on the dispute while Foley Hoag acted for Venezuela. (Legal Business)

Shanghai savings: HSF first Western firm to open alternative legal services hub in China
With international law firms intent on carving up pricey mandates so that chunks can be processed more mechanically by cheaper teams, Herbert Smith Freehills (HSF) has become the first Western firm to open an alternative legal services hub in China.
A 13-member team of lawyers and legal analysts bilingual in Mandarin and English has been set up in the firm’s Shanghai office. The business combines legal expertise, process efficiency and client technology solutions to process high-volume or document-intensive work more cost effectively. (Legal Business)

Germany activists file largest public suit against EU-Canada trade agreement
Three German organizations, Campact, foodwatch and Mehr Demokratie submitted a complaint against the Comprehensive Economic and Trade Agreement (CETA) Wednesday to the Federal Constitutional Court. With more than 125,000 signatures, the activists claim the complaint to be the largest public suit in the nation‘s history. CETA is designed to eliminate tariffs and foster investments. In a press release, foodwatch stated that the trade agreement, between the EU and Canada, violates Basic Law in four different respects. The complaint alleges that the agreement would create omnipotent committees and discriminatory investment courts, while bypassing due diligence and implementing provisional action without the consent of voters.
The trade agreement between the EU and Canada was reached in 2013. At that point, CETA had been in negotiation for four years. The alliance would provide Canada with greater reach into the European market and eliminate as much as 98 percent of all tariffs. The EU has endorsed the notion that CETA will comply fully with European standards for workers and safety. (Jurist)
9. 德国计划在父权案件中强制妈妈披露同床共枕的情人

German plan to force mums to name lovers in paternity cases
Germany’s justice ministry has drawn up a change in the law which would require mothers in certain paternity cases to reveal who they had slept with.
The measure would apply when men who had supported a child, believing that they were the father, sought financial redress in court.
They could thus more easily claim maintenance back from the actual biological father.
Women would only have the right to remain silent with "serious reasons".
Justice Minister Heiko Maas said (in German): "We need to offer more legal protection for ‘false’ fathers to seek financial compensation". (BBC)
